UniCredit demands that Italian authorities clarify requirements for Banco BPM deal

Italian bank UniCredit SpA will retract its offer for Banco BPM SpA if the Italian government fails to clarify the deal's terms, said UniCredit CEO Andrea Orcel at the Goldman Sachs conference, writes Bloomberg.

“If their meaning isn’t entirely clear, after we finalize the agreement, we face the danger of a €20 billion penalty,” he stated. “The chances of us accepting that risk are nonexistent, and unless their ‘golden right’ is defined somehow, we will terminate the entire deal.”

Orchel believes that the likelihood of UniCredit pursuing this deal is 20% or lower. In April, Italian authorities placed numerous conditions on the Banco BPM acquisition agreement. UniCredit has filed a lawsuit to challenge that ruling.

UniCredit stated that the conditions placed limitations mainly concerning the merged financial entity's approach to lending and liquidity management operations.

UniCredit reported that the parties engaged in productive discussions last week.
